These Terms of Service ("Terms") are a contract between you and Daiyo ("Daiyo," "we," "us," or "our") and govern your use of the Daiyo mobile app, website, and related services (collectively, the "Service"). By creating an account, downloading the app, or using any part of the Service, you agree to these Terms.
If you do not agree, do not use the Service.

Daiyo is a same-time, same-vibe activity matching app. You tell us when you're free and what you want to do. We try to match you with other verified members who are free for the same kind of activity at the same time. We surface relevant local deals and events alongside those matches.
We are not a dating service. We are not a personal safety service. We are not a transportation service. We are not an escort, in-call, or out-call service of any kind.
We are a place for verified people to find other verified people to do normal, lawful things with.
You are responsible for everything that happens under your account, including the safety of your password and any device that stays logged in. You may not let anyone else use your account. You may not create more than one account.
You may delete your account at any time from the in-app settings. Deletion removes your profile and prevents you from being matched going forward. We retain a limited record of your activity for safety, fraud, and legal compliance purposes — typically 24 months after deletion, longer if required by law or relevant to an open safety case.
Verification is required to act on the platform (create availability slots, propose plans, accept proposals, RSVP to events, send messages, or host events). You will be asked to submit:
We may decline to verify you. If you submit fraudulent documents you will be permanently banned.
We process the images using our own staff and, where appropriate, a third-party verification provider. Images are encrypted at rest. We delete the images once your account is approved, except where retention is required by law or to respond to fraud.
We do not currently run criminal background checks. We may begin offering them in the future. We may, with your separate explicit consent, share information with public-records and background-check vendors.
You agree not to use Daiyo for, and you will not allow others to use your account for:
Violations may result in immediate suspension, a permanent ban, public-records reporting to law enforcement where required, and civil liability.
Daiyo enforces verification and runs a moderation team that reviews reports of safety incidents. We do not, however, vouch for any user or guarantee anyone's safety. Meeting in person involves real-world risk that no app can eliminate.

If a situation is dangerous, contact local emergency services (911 in the US) first, then notify Daiyo. Our in-app reporting is for moderation review, not emergency response.
Daiyo lets verified local businesses pay to surface deals and live events to matched users. When you redeem a deal in person, your transaction is between you and the business. Business deals are subject to the merchant's own terms (e.g., capacity, hours, dine-in only). Daiyo is not a party to those transactions.
Tickets purchased through third-party providers (Ticketmaster, Eventbrite, etc.) are subject to those providers' terms.
Some Daiyo features may be offered as a paid subscription ("Daiyo+"). Subscriptions auto-renew until cancelled. You can cancel anytime in your device's subscription settings (iOS App Store / Google Play). Refunds are at our discretion and may be subject to platform policies.
We do not store your full payment card details. Payments are processed by Apple, Google, or our payment processor (currently Stripe).
You retain all rights to photos, messages, reviews, and other content you submit. By submitting it, you grant Daiyo a worldwide, non-exclusive, royalty-free license to host, display, and use the content to operate, improve, and promote the Service (e.g., showing your profile photo in the matches feed, displaying your review to a moderator).
This license ends when you delete the content or your account, except where the content has been incorporated into safety records, audit logs, or backups.
Daiyo employs both automated and human moderation:
By using Daiyo, you consent to this moderation, including the review of your messages within matched conversations when those messages are reported, automatically flagged, or otherwise need review for safety reasons.
We comply with valid legal requests for user data from law enforcement. We may, in our sole discretion, share information with law enforcement without a subpoena when we believe in good faith that there is a credible threat of imminent harm.
Daiyo, the Daiyo word mark, ticket logo, and product design are owned by us. You may not copy, modify, or distribute them except as the app itself permits (e.g., sharing your profile within the Service).
We may suspend or terminate your account at any time, with or without notice, for any reason — including but not limited to violations of these Terms or our Community Guidelines, fraud, or risk to other users.
You may terminate your account at any time. Some sections of these Terms (3 — your account; 5 — behavior; 9 — content license; 10 — moderation; 14 — disputes; 15 — liability) survive termination.
We do not promise the Service will always be available, error-free, or secure. We may modify or discontinue features. We may run maintenance windows.
(Where permitted by law.) Most disputes between you and Daiyo will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Jackson County, Missouri. You and Daiyo waive the right to a jury trial. You and Daiyo each waive the right to bring or participate in any class action.
You may opt out of arbitration within 30 days of accepting these Terms by emailing daiyosupport@gmail.com with the subject line "Arbitration Opt-Out" and your account email.
Nothing in this section prevents either party from seeking emergency injunctive relief in court or filing a small-claims action.
To the fullest extent permitted by law:
Some jurisdictions don't allow some of these limits. In those places, the limits apply only to the extent permitted.
You agree to defend, indemnify, and hold harmless Daiyo, its employees, officers, and contractors, from any third-party claim arising out of (a) your conduct on or off the platform that violates these Terms, (b) your interaction with another user, or (c) content you submit.
We may update these Terms. We'll post the revised version in-app and update the "Last updated" date. Material changes will be announced via push or email. Continued use of the Service after a change means you accept the new Terms.
